Company Formation in Oman: Steps, Timeline and Costs (2026)

A practical 2026 guide to registering a company in Oman — legal structures, 100% foreign ownership, the 8-step process, what it costs, and what happens after formation.

Setting up a company in Oman is more straightforward than most founders expect — but only if the sequence is right. This guide walks through the structures available, the actual process, realistic timelines, and what it costs, based on the formations we handle every month.

Can foreigners own 100% of an Omani company?

In most sectors, yes. Since the Foreign Capital Investment Law came into force in January 2020, foreign investors can hold 100% ownership of Omani companies across the large majority of business activities, with no Omani partner required and no general minimum capital for most activities. A limited list of activities remains reserved — we confirm your activity's status before anything is filed.

Choosing a structure

  • Limited Liability Company (LLC) — the standard choice for trading and services businesses with one or more shareholders.
  • Single Person Company (SPC) — an LLC with one owner; the usual vehicle for solo founders.
  • Branch office — an extension of a foreign parent, typically tied to a contract or project in Oman.
  • Representative office — market presence without commercial trading.

The 8-step formation process

  • 1. Initial consultation — objectives, ownership, and the right structure.
  • 2. Business structure and activity selection — including the foreign-ownership check.
  • 3. Legal documentation — constitutive contract, shareholder resolutions, translations.
  • 4. Company registration — commercial registration (CR) through MoCIIP's channels.
  • 5. Chamber of Commerce, tax, municipality, and employer registrations, plus beneficial-ownership (UBO) filing.
  • 6. Visa quota and labour registration — so you can hire.
  • 7. Bank account assistance — introductions and documentation for corporate banking.
  • 8. Ongoing PRO, HR, and compliance support once you're live.

How long it takes

With documents in order, the core registration is typically completed within days; end to end — including Chamber, tax, and labour registrations — most straightforward formations are operational within one to three weeks. Activities that need sector approvals (for example in health, education, or financial services) take longer, and we flag that up front.

After formation: what you're responsible for

  • Annual commercial registration and Chamber renewals.
  • Corporate income tax filing (the standard rate is 15%) and VAT compliance where registered.
  • Wage Protection System (WPS) payroll compliance for employees.
  • Omanisation quotas, which vary by sector and company size.
  • Keeping UBO and corporate records current as ownership or signatories change.

This after-formation layer is where most penalties actually happen — missed renewals, lapsed filings, payroll non-compliance. It's also exactly what our corporate support packages and business centre tenancies bundle in, so one partner carries the compliance calendar for you.
